1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client", "User", or "Institution") and Zeussuez IK India Private Limited, operating under the brand name IKONNECT INDIA ("Company", "we", "us").

We reserve the right to update these Terms at any time. Continued use of our services after changes are published constitutes acceptance of the updated Terms.

2. Description of Services

IKONNECT INDIA provides educational technology and institutional growth solutions including but not limited to:

• School ERP and administrative management systems
• AI-powered admission growth and lead management tools
• Parent communication and engagement platforms
• Digital marketing services for educational institutions
• CBSE, SARAS, UDISE+, SQAAF, and APAAR compliance support
• Learning Management Systems (LMS) and digital content
• School branding, website development, and digital presence management
• Analytics, reporting, and institutional intelligence dashboards
• Consulting and implementation support services

The specific services provided to your institution are detailed in your Service Agreement or Order Form. We reserve the right to modify, update, or discontinue any service with appropriate notice.

3. Accounts & Registration

3.1 Account Creation

To access platform services, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

3.2 Account Responsibilities

• You must immediately notify us of any unauthorised access or security breach
• You may not share login credentials with unauthorised individuals
• Each institution is responsible for managing user access within their account
• We reserve the right to suspend accounts that violate these Terms

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update it as necessary. We may suspend accounts with false or misleading information.

4. Payment & Subscription Terms

4.1 Fees & Billing

Service fees are specified in your Service Agreement or Order Form. All amounts are in Indian Rupees (INR) unless otherwise stated. Fees are non-refundable except as expressly stated in your agreement.

4.2 Payment Terms

• Invoices are due within the period specified in your Service Agreement (typically 15–30 days)
• Late payments may attract interest at 2% per month on the outstanding balance
• We reserve the right to suspend services for accounts with overdue payments
• All applicable GST and taxes are the responsibility of the client

4.3 Subscription Renewal

Annual or monthly subscriptions auto-renew unless cancelled with 30 days written notice before the renewal date. We will send renewal reminders to your registered email address.

4.4 Refund Policy

Refunds are governed by your specific Service Agreement. Generally, setup fees and advance payments for completed work are non-refundable. Disputes regarding billing should be raised within 30 days of the invoice date.

5. Intellectual Property

5.1 Our IP

All software, code, algorithms, designs, logos, brand assets, content, methodologies, and processes developed by IKONNECT INDIA are our exclusive intellectual property. You are granted a limited, non-exclusive, non-transferable licence to use our platform for your internal institutional purposes only.

5.2 Your Content

Content, data, and materials you upload to our platform remain your intellectual property. By uploading, you grant us a limited licence to process and store this content solely to provide the contracted services.

5.3 Restrictions

• You may not copy, modify, reverse-engineer, or redistribute our software or platform
• You may not use our brand name, logo, or trademarks without written permission
• You may not sublicence or resell access to our services without prior written agreement

6. Data Ownership & Usage

You retain full ownership of all institutional and student data you input into our platform. We act as a data processor on your behalf. We will not use your institution's data for any purpose other than providing the contracted services.

Upon termination of services, we will provide your data in a standard exportable format and delete it from our systems within 90 days, except where retention is required by applicable law.

7. Prohibited Activities

You agree not to use our services for any of the following:

• Violating any applicable Indian or international law or regulation
• Uploading malware, viruses, or malicious code to our systems
• Attempting to gain unauthorised access to our systems or other users' accounts
• Transmitting spam, unsolicited communications, or engaging in phishing
• Reproducing, redistributing, or commercially exploiting our platform without authorisation
• Submitting false, misleading, or fraudulent information to government portals through our compliance tools
• Using our platform to harass, defame, or harm any individual or institution
• Circumventing any security or access control measures on our platform

Violation of these prohibitions may result in immediate account termination and legal action.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• Our total liability to you for any claim shall not exceed the fees paid by you in the three months preceding the claim
• We are not liable for indirect, incidental, special, or consequential damages including loss of data, revenue, or business opportunities
• We do not warrant that our services will be error-free, uninterrupted, or free from security vulnerabilities
• We are not responsible for outcomes resulting from government portal decisions (CBSE affiliation, UDISE+ approvals) even where our compliance tools were used

9. Termination

9.1 Termination by You

You may terminate your service subscription by providing 30 days written notice to your account manager or to support@ikonnectindia.com. Fees for the notice period remain payable.

9.2 Termination by Us

We may terminate or suspend your account immediately for breach of these Terms, non-payment, or misuse of our platform. We will provide reasonable notice for termination not caused by breach.

9.3 Effect of Termination

Upon termination, your licence to use our platform ceases immediately. We will provide a data export within 30 days of termination request. Provisions of these Terms that by their nature should survive (IP, liability, governing law) will continue to apply.

10. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat, India.

Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days. If unresolved, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996.
